Service
By purchasing the services of Innovox as a Client, you agree to be legally bound by these Terms and Conditions, including those terms and conditions incorporated by reference. If you do not accept these Terms and Conditions stated here without modification, you may not use the services provided by Innovox. Innovox may modify these Terms and Conditions at any time.

With respect to the package selected, Clients are allowed to choose only one design. All designs, concepts, slogans or other materials displayed to the Client including designs which are not selected by the Client remain the full property of Innovox. Clients can purchase additional designs provided within the samples created to fulfill the Client’s order.

Payment
All prices listed by Innovox are in US Dollars.

All work must be paid in advance prior to any design work commencing unless agreed upon in writing by both parties. Clients purchasing Innovox service must pay for the Service online via credit card or offline via telephone, certified check or money order. Clients will be charged for the Package(s) selected. Innovox will email the client a receipt for the transactions in which Client is involved.

Refund Policy
A full refund less an administration charge of $50 will be made if the Client does not wish to proceed with the design before the initial design samples are created.The refund policy will also not take into affect if:
1) The reason does not relate to the design.
2) You do not provide any feedback within 15 days.
3) You have obtained design from a 3rd party.
Slogans, Flash Design, Express Orders, Web Site Designs, Logo Designs, and Branded/Printed items are non-refundable.

Ownership
All final artwork become the property of the Client, having unlimited and royalty-free use of the image upon payment of all fees. Innovox retains the right to display the artwork in their portfolio and advertising materials, except for otherwise negotiated. All completed coding, be it commissioned, modified, or licensed remains the sole property of Innovox and cannot be sold, licensed, or modified by the Client without prior written consent granting such actions by Innovox.

Client Security
Innovox will take appropriate steps to prevent unauthorized access, maintain data accuracy, and ensure the correct use of the information you provide us. Whenever you give Innovox sensitive information, Innovox will take reasonable steps to establish a secure connection with your web browser. Credit card numbers are used only for payment processing. When you register as a Client, you will receive a username and password in order to view design samples. You shall keep your username and password confidential and shall use solely in accordance with these Terms and Conditions.

Disclaimer
The Client unconditionally guarantees that any element of text furnished to Innovox for inclusion in the design samples do not infringe on any copyright or trademarks that have been already established by another organization. The Client will hold harmless, protect, and defend Innovox and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

Innovox guarantees that it uniquely creates the designs provided to Clients. By purchasing the services of Innovox, the Client understands the design provided may resemble a copyright image. Should a case as this arise, Innovox will complete a re-design but cannot be held responsible for any fees associated with a rebranding/redesign effort (ie: printing costs, signage, etc.). Innovox shall not be responsible for any loss, cost, damage or liability that may result.

Project Duration
Client agrees to provide timely responses to Innovox after notification of sample completion. Client shall have 15 days to respond to each set of design samples submitted to the Client for review. If after 15 days the Client has failed to respond, Innovox will assume the Project complete and the Project shall be deemed to be complete. Innovox will have no further obligation to Client, and Client shall pay Innovox all fees and expenses associated with work performed by Innovox.

Revision
No revision work, which requires payment, will be started without authorization from Client.

Sign-offs / Approvals
Prior to ordering print materials or branded products, Client shall be required to sign-off or agree to designs being produced. Once a client has signed-off, either electronically via email or by hand written signature, no revisions may be done to designs being processed. Innovox shall not be held liable for accuracy of information, colors produced, spelling errors, or any other technical errors associated with items printed or produced after sign-off from Client.

Eligibility Requirements
By registering as a Client, you represent and warrant that the information you include as part of the registration process is complete and accurate and, if you are registering on behalf of an entity, that you are authorized to bind that entity to these Terms and Conditions. Innovox may accept or reject your registration in its sole discretion.

Termination
Innovox reserves the right, in its sole discretion, to terminate Client’s access to all or a portion of the Service, at any time, with or without notice. In the event of such termination, Innovox will work with Client to determine the amount of refund (if any) to be paid to Client as a result of such termination. Should Client’s use of the Service result from Client’s material breach of the terms and conditions of this Agreement, Client shall not be entitled to any refund, unless otherwise mutually agreed upon by the parties.

Operation of Web Site
Innovox shall not be responsible for any delays, interruptions, errors, omissions that may occur on the Web Site. Innovox reserves the right, but shall not be required, to correct any delays, interruptions, errors or omissions. Various circumstances may prevent or delay availability of the Web Site, therefore, Innovox makes no representation, warranty or covenant that the Web Site or Service will be available at all times or at any time. Innovox shall not be responsible for any loss, cost, damage or liability that may result.

Domain Registration
Some Innovox promotions and packages may include free domain registration. If Client’s requested domain is available, Innovox will register it for the period of one year at no cost to the client. At the end of one year, if client wishes to continue use of domain, the client may transfer the domain to another registrar, or continue to license use of domain from Innovox. All domains registered by Innovox will be registered to Innovox and will remain the property of Innovox until transferred by client. Transferal of domain requires 30 days written notice from client.

Use of Materials
The right to download and store or output the materials in our site(s) is granted for the user’s personal use only, and materials may not be reproduced in any edited form for commercial purposes. Any other reproductions, transmission, performance, display or editing of these materials by any means mechanical or electronic without the express written permission of us is strictly prohibited. Users are prohibited from reprinting or reproducing any materials appearing on these sites.

The SiteEdit Program
The SiteEdit program is included with some Innovox web sites that utilize compatible hosting services at no additional cost. Clients of Innovox may use this program for no cost for the duration of their service with Innovox. Service in this case is defined as continuing contract work, hosting services, or duration determined in advance by Client and Innovox, typically one year from the completion of said web site. If service with Innovox ceases, the Client will surrender the right to use of the SiteEdit program. Client may not edit, sell, license, or redistribute the SiteEdit program without express written permission of Innovox.
